TERMS AND CONDITIONS

BUSINESS CUSTOMERS ONLY

We provide Business-to-Business services.  These Terms and Conditions apply exclusively to business customers, including individuals, sole traders, start-ups, and companies purchasing products for the purpose of brand development, resale, private labelling, or other commercial use.

We do not sell products for personal, domestic, or consumer use. By placing an order, you confirm that you are purchasing for current or intended business purposes, even if your business is not yet formally registered.

By placing an order on this website, you confirm that you are acting in the course of business and not as a consumer under the Consumer Rights Act 2015.


1. TERMS OF WEBSITE USE

We make reasonable efforts to ensure that all information, descriptions, photographs, and prices of products displayed on this website are accurate at the time of publication. However, we do not guarantee that the website, or any content on it, will always be available, uninterrupted, error-free, or up to date.

We reserve the right to suspend, withdraw, discontinue, or amend any part of the website or its content at any time without notice.

All content on this website is provided for general trade information purposes only and does not constitute professional, technical, medical, or regulatory advice. Customers must obtain independent professional advice before relying on any information provided.

Your use of this website and any products purchased is entirely at your own commercial risk. It is the customer’s responsibility to ensure that any products, services, or information obtained meet their specific business requirements.


2. PRICES

All prices are quoted in Great British Pounds Sterling (£) and are exclusive of delivery charges and VAT unless otherwise stated.

VAT will be exempt for qualifying international orders. Customers are responsible for all customs duties, import taxes, and fees applicable in their jurisdiction.

Prices are subject to change at any time due to factors outside our control, including supplier costs and regulatory changes.


3. PRODUCTS

All products supplied by Puristic Makeup are unbranded wholesale cosmetic products intended for business use, private-label branding, and resale.

Product formulations, ingredients, shades, and specifications may change without prior notice due to ingredient availability, regulatory requirements, or product development.

Due to the nature of cosmetic manufacturing, minor variations in colour, texture, or finish may occur between production batches. Such variations do not constitute a defect or grounds for rejection. 

It is the customer’s responsibility to review all product details and ingredient information before placing an order.

Customers are solely responsible for any claims, representations, or marketing statements made in relation to products sold under their own brand. 


4. PAYMENT

Payment must be made using the methods available at checkout. Orders will not be processed until full payment has been received.


5. ORDER ACCEPTANCE

Upon placing an order, you will receive an automatic order confirmation. Acceptance of the order occurs when the goods are dispatched.

We reserve the right to refuse or cancel any order, discontinue any product or service, or cease supplying any customer where continued supply would pose commercial, legal, or reputational risk, at our discretion and without notice. 

All sales are governed by English law and these Terms and Conditions.


6. ACCEPTANCE OF GOODS

Goods are shipped to the address provided at checkout. Customers are responsible for ensuring address accuracy.

Orders returned due to incorrect address details may incur additional shipping charges.

Customers must inspect goods immediately upon receipt. Any shortages, damage, or incorrect items must be reported within 2 working days of delivery.


7. SHIPMENT & RISK

We arrange delivery on the customer’s behalf using third-party courier services. Once an order has been dispatched from our premises, the risk of loss or damage transfers to the customer.

Customers are responsible for ensuring that their business has appropriate insurance in place, including cover for goods in transit where required.

While Puristic Makeup will provide reasonable assistance with courier investigations or claims where possible, we cannot be held liable for parcels lost, delayed, or damaged in transit once dispatched.


8. COMPLIANCE WITH UK & EU COSMETIC REGULATIONS

Customers purchasing products for branding are solely responsible for ensuring compliance with all applicable UK and/or EU cosmetic regulations prior to placing products on the market under their own brand. This includes, but is not limited to:

- Cosmetic Product Safety Reports (CPSR)

- Submission of notifications via the SCPN and/or CPNP portals

- Labelling, claims, and marketing compliance

Puristic Makeup confirms that Cosmetic Product Safety Reports (CPSRs) are held for the base formulations we supply. These CPSRs are prepared for our formulations and internal compliance purposes and remain the intellectual property of Puristic Makeup.

Full CPSRs are not supplied or transferred as part of a wholesale purchase, as they contain proprietary formulation information. Where required, regulatory summaries or supporting documentation may be provided at our discretion to assist clients with their compliance obligations.

Once products are branded, labelled, repackaged, or placed on the market under the customer’s name, the customer becomes the Responsible Person and assumes full responsibility for regulatory compliance in the relevant market.

Any changes to packaging, labelling, intended use, claims, or market may require a new or amended CPSR, which is the customer’s responsibility.

Puristic Makeup accepts no responsibility for regulatory compliance beyond the supply of the base formulation.


9. LABEL DESIGN 

We reserve the right to refuse customer-supplied label designs that are incompatible with our production processes.

All designs created by our team remain our intellectual property.


10. RETURNS, CANCELLATIONS & INCORRECT DELIVERIES

All products are made to order. As such:

- Orders cannot be cancelled or returned once placed

- Opened or used products are non-returnable for hygiene and safety reasons

- Sample products are non-refundable once tested

- Refunds are not provided for dissatisfaction, personal preference, or suitability for personal use

We are not responsible for delays, loss, or damage caused by third-party couriers once an order has been dispatched.

In the rare event that an incorrect item is supplied, customers must notify Puristic Makeup within 2 working days of delivery. Incorrect items must be returned unused and in their original packaging within 14 days, using a tracked delivery service. We cannot accept responsibility for items lost in transit.


11. ALTERNATIVE & CUSTOM FORMULATIONS

Alternative or legacy formulations not listed on the website are treated as custom formulations.

Custom formulations may be subject to different pricing, MOQs, and lead times.


12. PRIVACY & DATA PROTECTION

Personal and business data is processed in accordance with applicable data protection laws, including GDPR. Please refer to our Privacy Policy for full details.


13. COOKIES

This website uses cookies. Continued use constitutes consent in line with our Cookie Policy.


14. INTELLECTUAL PROPERTY

All website content, designs, images, formulations, and materials remain the intellectual property of Puristic Makeup and may not be reproduced without written permission.

Customers must not analyse, reverse engineer, or attempt to replicate our formulations for commercial manufacture outside of purchases made through Puristic Makeup.


15. LIMITATION OF LIABILITY

To the fullest extent permitted by law, Puristic Makeup shall not be liable for any indirect, incidental, or consequential losses.

This includes, without limitation, loss of profit, loss of business, loss of contracts, or anticipated savings arising from the supply or use of products.


16. FORCE MAJEURE

We shall not be liable for delays or failure to perform due to events beyond our reasonable control.


17. CHANGES TO TERMS

We reserve the right to amend these Terms and Conditions at any time. Continued use of the website constitutes acceptance of the updated terms.


18. GOVERNING LAW & JURISDICTION

These Terms and Conditions are governed by English law, and all disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
